M&A Lawyer | Job
The Job / Responsibilities :
We are seeking a Mergers and Acquisitions (M&A) Lawyer to join our dynamic legal team at Euroclear. The ideal candidate will support the team in advising and managing M&A transactions, ensuring legal compliance, and mitigating risks. This position require strategic thinking , good communication skills and the ability to work under pressure. This is a great opportunity to work on sophisticated and high-profile transactions in an encouraging and innovative environment as a member of the Legal Division of the Euroclear group.Key Responsibilities:
• Advisory Role: Support in conducting research and due diligence on both the acquirer and target companies, analyzing financials, assets, and liabilities. Provide guidance on legal compliance, including securities, antitrust, and foreign investment laws.
• Deal Structuring: Contribute to structuring M&A deals to align with business goals, tax implications, and legal requirements. Assess legal risks and suggest mitigation strategies.
• Negotiation and Drafting: Draft, negotiate, and finalize contracts, including letters of intent, confidentiality agreements, and principal transaction agreements. Draft appropriate representations, warranties, covenants, and disclosure schedules.
• Stakeholder Management: Manage communication between various stakeholders, including executives, other lawyers, and financial advisers. Contribute to smooth transaction processes and support in addressing any issues that arise.
• Fiduciary Duties: contribute to building advice for the boards of directors and management on fiduciary duties, minority shareholder rights, and potential conflicts of interest. Review and comment on financial adviser fairness opinions and board presentations.
• Implementation: Create comprehensive implementation checklists and ensure all necessary actions and documents are completed and delivered in connection with the transaction.
Your profile :
Qualifications:• Master degree from an accredited law school.
• +5 years of experience at a law firm or in-house legal department.
• Strong analytical, drafting, and negotiation skills.
• Excellent communication (in English) and interpersonal skills.
• Ability to work independently and as part of a team.
• Specific Skills Required:
• Proficiency in legal research and writing.
• Strong understanding of corporate finance.
• Experience with cross-border transactions and international M&A is a plus.
• Ability to handle multiple projects and meet tight deadlines.
• Strong problem-solving skills and attention to detail.
• Proficiency in using legal technology and software tools.
• Ability to build and maintain strong client relationships.
• Conscientious and organized approach to work.
